Business Associate Agreement - An agreement that healthcare providers require of vendors that may have access to patient information. This agreement is mandated by HIPAA and "flows down" basic HIPAA obligations to protect patient information to the vendor.

Managing Members - The management team of a Limited Liability Company who are not officers of the entity. These folks are similar to the board of directors of a corporation.
Operating Agreement - This is the document that controls how a Limited Liability Company operates or is governed. It contains provisions such as the percentage of the Membership Interest required to approve certain actions.
